Sino Agro Food Extends 10-K Deadline Due to Coronavirus

Jun 2, 2020

Sino Agro Food, Inc. (“SIAF” or “The Company”) previously announced a delay in filing its 2019 Form 10-K Annual Report (the “Report”) due to the Corona virus. COVID-19 has continued to cause severe disruptions in transportation and limited access to the Company’s facilities resulting in limited support from its staff and professional advisors, including its Hong Kong based audit firm. COVID-19 regulations still require a quarantine of 14 days when traveling from HK to China, and a further 14 days from China back to HK. Proper audit work must be carried out at the Company’s business operating sites in China, thereby requiring 28 quarantine days for each separate site visit.

The Company is hopeful that the government will relax quarantine restrictions in the near future, allowing it to complete the audit and then file the 2019 10-K on or before July 30, 2020. The Company now expects to file 2020 Q1 10-Q on or before August 15th 2020 and to file the 2020 Q2 10-Q 2020 on or before August 31, 2020, the normal extended time.

The reality of the situation allows no alternative, and the Company expects no consequent sanctions, as SIAF catches up to normal filing deadlines, after the COVID-19 related disruptions and government policies are relaxed.

SIAF has no updates to previous financial disclosures in its last release dated May18, 2020.
